What's the difference between POA & guardianship?

New at this my dad is 80 years old and his mind is not all there.

A POA is granted by Dad, but if he has limitations, he cannot sign a legal document. A guardian is appointed by a Judge when Dad is no longer legally competent, meaning Dad would not understand what he signed.
